General Terms and conditions

Article 1: Definitions

In these general terms and conditions, the following definitions are used:

  • Alkhemi: Alkhemi, located at Liendenhof 277, 1108 HT Amsterdam, registered with the Chamber of Commerce under KvK number: 67436846;

  • Participant: the purchaser of services offered by Alkhemi;

  • Event: a service of Alkhemi that is purchased by a participant;

  • Facilitator: the person executing the event mentioned in paragraph 3.

Article 2: Applicability

  • These general terms and conditions apply to all services, offers, and agreements between the participant and Alkhemi, excluding any additional conditions;

  • The possible non-applicability of a (part of a) provision in these general terms and conditions does not affect the applicability of the remaining provisions.

Article 3: Registrations

  • Registration for the services offered by Alkhemi is done via the registration form provided by Alkhemi;

  • If the participant is under 18 years old, a legal representative must also complete the registration form;

  • The agreement is established after a (partial) payment and the completion and signing of the intake form. This creates a payment obligation for the participant;

  • After receiving a (partial) payment, the registration is considered provisional. The participant will be notified by electronic or written confirmation. The registration becomes final when:

    • There are sufficient registrations. Whether there are sufficient registrations is at Alkhemi's discretion;

    • There is enough space for the event or service. Registrations are processed in the order they are received;

    • The participant is deemed mentally and physically suitable to participate in the event. For events where this does not apply, registration becomes final immediately after payment.

  • Alkhemi reserves the right to change the location after registration.

  • All amounts stated on the website are for individuals and include VAT. For business expenses, the amounts are exclusive of VAT.

Article 4: Cancellation and Modification

  • Cancellation of a registration must be done via email;

  • For event cancellations: if canceled within 14 days before the start of the event, 100% of the total invoice amount will be charged unless explicitly stated otherwise.

Article 5: Execution

  • Alkhemi will make every effort to carry out the events to the best of its knowledge and ability. The agreement made with Alkhemi creates a best-effort obligation, not a result obligation;

  • If, due to circumstances unknown at the time of the agreement, Alkhemi cannot meet its obligation, Alkhemi has the right to modify the agreement to enable its execution;

  • Alkhemi has the right to suspend its obligations if, due to changes in circumstances that were reasonably unforeseeable and beyond its control at the time of the agreement, it is prevented from fulfilling its obligations;

  • Alkhemi reserves the right to outsource tasks to third parties;

  • If Alkhemi is unable to conduct the event due to illness and/or unavailability, Alkhemi will arrange for a replacement. If replacement is not possible, the participant will be informed as soon as possible. Alkhemi does not compensate for any costs incurred due to cancellation or absence, but the participant retains the right to a rescheduled session or a full refund.

  • For reasons of quality improvement and/or reprogramming, Alkhemi reserves the right to make interim changes to programs.

Article 6: Participant Obligations

  • The participant is required to provide all information requested by Alkhemi and complete all forms accurately, fully, and truthfully;

  • The participant is required to behave as a good participant. This means they will make every effort to follow Alkhemi's instructions to the best of their knowledge and ability and respect other participants;

  • The participant is required to treat information about other participants confidentially to foster an atmosphere of openness and trust, enabling the exchange of thoughts and an optimal healing process.

Article 7: Own Responsibility

  • The participant takes part at their own responsibility. Persons with serious illnesses, undergoing psychiatric treatment, or having specific complaints are asked to first contact Alkhemi to resolve any practical issues and discuss whether participation is possible.

Article 8: Termination of the Agreement

  • Cooling-off period: fourteen days after the conclusion of an agreement, the participant has the right to cancel the agreement without giving reasons, provided the event takes place within those 14 days;

  • The cooling-off period mentioned in paragraph 1 starts from the moment the deposit is received;

  • If a participant exercises the right of withdrawal as described in paragraph 1, the associated payment obligation will automatically expire;

  • There is no right of withdrawal if the event has started with the participant's consent before the cooling-off period mentioned in paragraph 1 has expired.

Article 9: Payment and Consequences of Late Payment

  • After receiving the (partial) payment, the participant is obligated to pay the full registration fee to Alkhemi. These amounts are due and payable to Alkhemi, except for installment payments as mentioned in paragraph 9.4, which are due later;

  • If the amount due is not paid (on time), Alkhemi has the right to suspend its work or exclude the participant from participation;

  • In case of late or incomplete payment, the participant is in default and, as a result, owes a contractual interest of 1% per month on the outstanding amount, where part of a month is considered a full month. Alkhemi is also entitled to compensation for extrajudicial collection costs amounting to 15% of the principal sum, with a minimum of €250. If the participant is a natural person not acting in the course of a profession or business, the Dutch Act on the Standardization of Extrajudicial Collection Costs applies;

  • Payment in installments is possible as indicated on the website;

  • If a participant opts for payment via direct debit, the participant has the right to reverse this direct debit within thirty days. Improper reversal of the payment does not release the participant from their payment obligation.

Article 10: Liability

  • No rights can be derived from the content of brochures or texts on the website;

  • Alkhemi is not liable for any damage incurred by the participant unless there is intent or gross negligence on the part of Alkhemi or the persons it has engaged;

  • Alkhemi is not liable for:

    • Damage resulting from incorrect and/or incomplete information provided by the participant;

    • Damage arising from the actions and behavior of the participant, such as not following instructions;

    • Loss, damage, or theft of items belonging to the participant;

    • Indirect damage such as consequential loss, lost profits, invested labor hours, and damage due to business interruption;

  • Any liability of Alkhemi is expressly limited to the amount paid out under Alkhemi's professional liability insurance in the relevant case;

  • If, for any reason, no insurance payout is made, Alkhemi’s liability is limited to the maximum registration fee for an event per damaging event, where a series of related events is considered one event;

  • Third parties engaged by Alkhemi may also invoke the liability limitations in this article. These third parties can directly rely on these limitations.

Article 11: Complaints Procedure

  • If a participant is dissatisfied with an event, fellow participant, or facilitator, the participant may file a complaint with Alkhemi via info@holyshit.nl. Complaints are handled confidentially and seriously. Alkhemi ensures an optimal solution.

Article 12: Intellectual Property

  • Alkhemi retains the rights and powers granted to it under the Copyright Act;

  • All materials provided by Alkhemi to the participant, or generally published materials, are intended solely for the participant's use and may not be reproduced, published, or shared with third parties without prior permission from Alkhemi;

  • The participant is never permitted to make audio, photo, or video recordings during events;

  • Alkhemi may make audio, photo, or video recordings during events only with the participant's consent.

Article 13: E-learning

  • For various events, access may be provided to exclusive software and/or visual materials;

  • The usernames, passwords, and/or other identification details provided by Alkhemi are strictly personal. Sharing such details with third parties is not allowed unless expressly agreed otherwise;

  • The participant is responsible for any misuse, carelessness, and/or unlawful use of the details mentioned in paragraph 2.

Article 14: Amendments to the General Terms and Conditions

  • Alkhemi reserves the right to amend or supplement these general terms and conditions;

  • The amended conditions are deemed accepted if the participant does not object within thirty days after the amended conditions have been sent or made known via Alkhemi's website or electronic notification.

Article 15: Applicable Law

  • The agreement between Alkhemi and the participant is governed by Dutch law;

  • The competent court for disputes between Alkhemi and the participant is the court in the district where Alkhemi is located, unless mandatory legal provisions prescribe otherwise.
